1. Parties and Role
This Buyer Agreement is between the buyer account holder and WWMalls Canada Inc., operator of SourceCAN. SourceCAN provides technology for supplier discovery, product listings, RFQs, quotations, messaging, meetings, procurement records, funding resources and related services. Unless SourceCAN expressly agrees otherwise in writing, SourceCAN is not the manufacturer, seller, distributor, carrier, lender or grant-making authority.
2. Buyer Account
The buyer must provide accurate business and contact information, protect credentials and ensure authorized personnel use the account. Organizational buyers are responsible for permissions granted to their users.
3. Supplier Due Diligence
Verification badges and profile information are informational tools, not guarantees of performance. Buyers remain responsible for commercial, technical, regulatory, financial and supplier due diligence appropriate to the purchase.
4. RFQs and Quotations
RFQs must accurately describe requirements. Quotations are submitted by manufacturers and remain subject to their stated validity periods, exclusions, taxes, freight, tooling, minimum quantities and other terms.
5. Orders and Standing Orders
A buyer may create one-time orders, saved order templates and standing orders. Standing orders remain subject to the selected pricing method, availability, cutoff rules and any manufacturer confirmation required. Buyers may modify, pause, skip or cancel future occurrences, subject to commitments already accepted or in production.
6. Products and Purchase Contracts
Unless expressly stated otherwise, a purchase contract is between the buyer and manufacturer. The parties are responsible for specifications, acceptance criteria, taxes, delivery, warranties, returns and regulatory compliance.
7. Consumer Transactions
SourceCAN is primarily a business-to-business platform. If a transaction is legally a consumer transaction, mandatory consumer rights under applicable law are not waived by this Agreement.
8. Funding Services
Grant and incentive information is informational and does not guarantee eligibility, approval or funding. Buyers must verify official program terms. Financing and shipping modules may be displayed before activation and will be marked Coming Soon until available.
9. Governing Law
Subject to mandatory laws that cannot be excluded, this Agreement is governed by the laws of British Columbia and the federal laws of Canada applicable there. Courts located in British Columbia have jurisdiction, subject to any non-waivable rights.
