1. Agreement
These Terms of Service are a legal agreement between you and WWMalls Canada Inc., operator of SourceCAN. They govern SourceCAN.co and related marketplace, directory, search, RFQ, communications, procurement, funding and account services. By creating an account or using the services, you agree to these Terms and policies incorporated by reference.
2. SourceCAN Services
SourceCAN provides manufacturer discovery, public and claimed profiles, product listings, marketplace tools, RFQs and quotations, messaging and meetings, procurement records, saved and standing orders, memberships, advertising, virtual trade shows, grants and incentive tools, and other business services. Some modules may be identified as Coming Soon.
3. Eligibility and Accounts
Users must have legal capacity and authority to act for the business represented. Account information must be accurate and credentials kept secure. SourceCAN may require email, identity, business or manufacturer verification.
4. Buyer and Manufacturer Agreements
Buyer accounts are additionally subject to the Buyer Agreement. Manufacturer accounts are additionally subject to the Manufacturer Participation Agreement. Event-specific policies may apply to RFQs, verification, advertising and transactions.
5. Marketplace Relationship
Unless expressly stated otherwise, SourceCAN provides the technology platform and is not the seller or manufacturer. A product or manufacturing purchase contract is between buyer and manufacturer. SourceCAN may facilitate records, communications and payment-related workflows without becoming a party to the underlying supply contract.
6. Orders and Standing Orders
SourceCAN may support one-time purchases, saved templates and recurring standing orders. Each generated standing-order transaction becomes part of procurement history. Users remain responsible for current pricing, availability, approvals and contractual commitments.
7. Grants & Incentives
SourceCAN may search, aggregate and match public funding opportunities and provide application workspaces and document tools. Program information must be verified against the official source. SourceCAN does not guarantee eligibility, approval or award.
8. Financing and Shipping
Financing and shipping/logistics services may be displayed as Coming Soon. No application, quote, shipment or partner service is available until SourceCAN expressly activates the applicable module and any required terms.
9. Fees and Payments
Paid memberships, advertising and other paid services are subject to displayed pricing and applicable order terms. Taxes may apply. Third-party payment providers may process payment information under their own terms and privacy practices.
10. Acceptable Use
Users must comply with the Acceptable Use Policy and may not misuse SourceCAN, submit false information, infringe rights, compromise security, manipulate marketplace activity or use the platform unlawfully.
11. Intellectual Property
SourceCAN platform IP remains owned by or licensed to SourceCAN/WWMalls Canada Inc. Users retain their own content subject to the limited operational licence described in the Copyright, Trademark & IP Policy.
12. Privacy and Electronic Communications
Personal information is handled under the Privacy Policy and applicable privacy law. Electronic contracting and signatures may be used where legally effective. Commercial electronic messages are subject to applicable Canadian anti-spam requirements.
13. Suspension and Termination
SourceCAN may restrict or terminate access for material breach, fraud, security risk, non-payment, legal requirements or conduct that threatens users or platform integrity. Provisions that by nature should survive termination remain effective.
14. Disclaimers
Services are provided on an as-available basis to the extent permitted by law. SourceCAN does not guarantee uninterrupted operation, transaction success, supplier performance, funding awards, or the accuracy of third-party information.
15. Limitation of Liability
To the maximum extent permitted by applicable law, SourceCAN and WWMalls Canada Inc. are not liable for indirect, incidental, special, consequential or punitive damages arising from use of the platform or independent transactions between users. Nothing in these Terms excludes liability or rights that cannot lawfully be excluded.
16. Consumer Rights
Nothing in these Terms waives mandatory rights available under the British Columbia Business Practices and Consumer Protection Act or other applicable consumer legislation. Any term prohibited in a consumer contract is inapplicable to the extent of that prohibition.
17. Governing Law
Subject to mandatory law, these Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. The parties submit to courts located in British Columbia, subject to non-waivable statutory rights.
18. Changes and Contact
